Terms of Service

1. Acceptance of Terms

Welcome to ClawSoup, a product of OpenClaw ("Company," "we," "us," or "our"). By accessing or using our website at clawsoup.com, our API, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to all of these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

2. Account Registration

To access certain features of the Service, you must create an account. When you register, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information to keep it accurate and complete.
  • Maintain the security of your password and API keys. You are responsible for all activity that occurs under your account.
  • Notify us immediately of any unauthorized use of your account or any other breach of security.

You must be at least 18 years of age to create an account and use the Service. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

3. Purchases and Credits

ClawSoup uses a credit-based system for purchasing skills. By purchasing credits, you agree to the following:

  • All credit purchases are processed securely through Stripe, our third-party payment processor.
  • Prices are displayed in US dollars unless otherwise indicated. You are responsible for any applicable taxes.
  • Credits are added to your account upon successful payment and can be used to purchase any skill on the marketplace.
  • Credits do not expire, but they are non-transferable between accounts.
  • Skill purchases are deducted from your credit balance at the time of purchase or usage, depending on the pricing model (subscription or pay-per-call).

4. Refund Policy

We want you to be satisfied with your purchases. Our refund policy is as follows:

  • Credits: Purchased credits are non-refundable once added to your account. If you believe a credit purchase was made in error, please contact us within 48 hours at support@clawsoup.com.
  • Subscriptions: Subscription-based skills may be canceled at any time. Upon cancellation, you retain access until the end of the current billing period. No partial refunds are issued for the remaining portion of a billing period.
  • Pay-per-call skills: Usage-based charges are non-refundable, as they are billed per successful execution.

To request a refund, email support@clawsoup.com with your account email, the skill name, and the reason for your request. Refunds are processed as credit back to your ClawSoup account.

5. Developer Terms

If you publish skills on ClawSoup as a developer, the following additional terms apply:

  • Revenue split: Developers receive 80% of net revenue from all sales of their skills. ClawSoup retains a 20% commission. Net revenue is calculated after payment processing fees (charged by Stripe) are deducted.
  • Payouts: Developer payouts are processed on a monthly basis, provided the minimum payout threshold is met. Payout methods and thresholds are detailed in the developer dashboard.
  • Skill review: All skills are subject to review by the ClawSoup team before they are published. We reserve the right to reject, remove, or suspend any skill that does not meet our quality, security, or content standards.
  • Representations: By publishing a skill, you represent that you own or have the right to distribute the skill, that it does not infringe on any third-party intellectual property rights, and that it does not contain malicious code.
  • Support: Developers are expected to provide reasonable support for their skills, including bug fixes and updates. ClawSoup may remove skills that are abandoned or no longer maintained.
  • Taxes: Developers are responsible for reporting and paying all taxes owed on their earnings. ClawSoup may provide tax documentation as required by law.

6. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Distribute malware, viruses, or any other malicious software through skills or API calls.
  • Attempt to gain unauthorized access to other users' accounts, the Service's infrastructure, or any connected systems.
  • Use the Service to engage in fraud, phishing, or any deceptive practices.
  • Reverse-engineer, decompile, or disassemble any part of the Service, except as permitted by law.
  • Scrape, crawl, or otherwise systematically extract data from the Service without our prior written consent.
  • Resell or redistribute skills or API access without authorization.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Upload or publish content that is unlawful, defamatory, obscene, or otherwise objectionable.

Violation of these terms may result in immediate account termination and, where applicable, legal action.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by OpenClaw and is protected by copyright, trademark, and other intellectual property laws.

Your content: You retain ownership of any skills, code, or content you submit to the Service. By publishing a skill on ClawSoup, you grant us a worldwide, non-exclusive, royalty-free license to host, distribute, display, and execute your skill through the Service for as long as the skill remains published.

Trademarks: "ClawSoup," "OpenClaw," and associated logos are trademarks of OpenClaw. You may not use these trademarks without our prior written permission, except as required for reasonable and customary use in describing the origin of your skill.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OPENCLAW, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of, or inability to access or use, the Service.
  • Any conduct or content of any third party on the Service, including but not limited to skills published by other developers.
  • Any content obtained from the Service.
  • Unauthorized access, use, or alteration of your transmissions or content.

Our total liability to you for all claims arising from or relating to the Service shall not exceed the amount you have paid to ClawSoup in the twelve (12) months preceding the claim.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

You may terminate your account at any time by contacting us at support@clawsoup.com. Upon termination:

  • Your right to access and use the Service will immediately cease.
  • Any remaining credits in your account are forfeited and non-refundable.
  • If you are a developer, any pending payouts below the minimum threshold will be forfeited.
  • We may retain certain information as required by law or for legitimate business purposes.

All provisions of the Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of and venue in such courts and waive any objection as to inconvenient forum.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting the updated Terms on the Service and, where possible, notifying you via email.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
